By accessing or using the Canwin Technologies website or engaging our services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations.

If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.


2. Services

2.1 Service Description

Canwin Technologies provides technology services including but not limited to: PLM (Teamcenter) implementation, Opcenter Quality implementation, cloud solutions, DevOps, web development, mobile application development, IT consulting and outsourcing services.

2.2 Service Agreements

The specific scope, deliverables, timelines and pricing for services are governed by separate written agreements (Statements of Work, Contracts, or Master Service Agreements) executed between Canwin and the client. In the event of any conflict, the specific service agreement shall prevail over these Terms.

2.3 Service Changes

We reserve the right to modify, suspend or discontinue any service (or part thereof) at any time with reasonable notice. Where services are under a signed contract, modifications will be managed through a formal change control process.

2.4 Availability

While we strive to maintain continuous availability of our services, we do not guarantee uninterrupted, error-free operation. Scheduled maintenance windows will be communicated in advance where possible.


3. Intellectual Property

3.1 Canwin IP

All content on this website — including text, graphics, logos, icons, images, software, and the compilation thereof — is the property of Canwin Technologies Private Limited and is protected by applicable copyright, trademark and intellectual property laws. You may not reproduce, distribute or create derivative works without our prior written consent.

3.2 Client IP

Any intellectual property provided by a client for the purpose of delivering services remains the property of that client. Canwin will not use client IP for any purpose other than service delivery.

3.3 Work Product

Ownership of work products and deliverables developed under a service engagement is governed by the specific service agreement. Unless otherwise agreed in writing, custom deliverables developed exclusively for a client shall be assigned to that client upon full payment.

3.4 Pre-existing IP

Canwin retains ownership of all pre-existing tools, frameworks, methodologies and general know-how used in delivering services.


4. User Conduct

When using our website or services, you agree not to:

  • Violate any applicable local, national or international laws or regulations
  • Transmit any unsolicited commercial communications (spam)
  • Attempt to gain unauthorized access to any system, network or data
  • Upload or transmit viruses, malware or other harmful code
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that disrupts or interferes with our services
  • Scrape, harvest or collect data from our website by automated means without prior written consent
  • Use our services for any illegal, fraudulent or malicious purpose

5. Disclaimer of Warranties

Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to Canwin for the relevant service in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability — in such cases, our liability will be limited to the maximum extent permitted by law.


7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed in the course of service engagements, marked as confidential or reasonably understood to be confidential, including but not limited to technical data, business strategies, client lists, pricing and software code.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

Specific confidentiality terms may be superseded by a separately executed Non-Disclosure Agreement (NDA).


8. Indemnification

You agree to indemnify, defend and hold harmless Canwin Technologies, its directors, officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Your use of our services in a manner not authorised by these Terms
  • Any content or data you provide to us

10. Refund & Cancellation Policy

10.1 Service Engagements

Refund and cancellation terms for professional services are defined in the specific service agreement between Canwin and the client. In the absence of a specific agreement:

  • Work completed and delivered is non-refundable
  • Cancellations made with 14+ days' notice: refund of prepaid amounts for unstarted work, minus a 10% administrative fee
  • Cancellations made with less than 14 days' notice: refund of prepaid amounts for unstarted work, minus a 25% cancellation fee
  • No refunds once a project milestone has been accepted by the client

10.2 Digital Products

For any software licences or digital products sold by Canwin, refunds are not available after download or first use, unless the product is materially defective or not as described.

10.3 Dispute Process

To initiate a refund request or dispute, please contact us in writing at mail@canwin.com within 30 days of the relevant transaction. We will respond within 10 business days.


11. Third-Party Links & Services

Our website may contain links to third-party websites or services (including Siemens, cloud providers and other technology partners). These links are provided for convenience only. We do not control, endorse or accept responsibility for the content, privacy practices or terms of third-party sites.

We recommend reviewing the privacy policies and terms of any third-party services you access through our website.


12. Termination

We reserve the right to terminate or suspend your access to our website or services immediately, without prior notice, if you breach these Terms or engage in conduct that we reasonably determine to be harmful to Canwin, other users or third parties.

Upon termination, all licences and rights granted to you under these Terms shall immediately cease. Provisions of these Terms that by their nature should survive termination (including IP, confidentiality, liability and dispute resolution) shall continue to apply.


13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in Chennai, Tamil Nadu, India, in accordance with the Arbitration and Conciliation Act, 1996.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.


14. Modifications to Terms

We reserve the right to update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide notice on our website or by email where we have your contact details.

Your continued use of our website or services following notice of changes constitutes your acceptance of the updated Terms.
